General Consulting and Programme Delivery Terms and Conditions – 2008

Fees

Charges for Products and Packaged Products are made according to the prevailing published price list.

Charges for Services are made at our prevailing day and half day rates, which are currently £1900 and £1050 respectively. Half day rates are charged for periods of up to 4 hours, and day rates for periods of 4 to 8 hours.

We do not charge for telephone calls and email support, unless this constitutes a significant part of a designed package or product, such as a telephone coaching programme.

Fees for Design and Preparation

Design of session and event plans, and general preparation for events or assignments is included in the day and half day fees quoted above.

Additional fees will be incurred for event tailoring, bespoke design work, profiler analysis and feedback, or other non client facing work exceeding two hours duration, and will be charged for each hour or part hour, at a rate pro-rata to the day rate.

Travel time is not charged inside the UK.

Discounting

Transformational Thinking has a non-discounting policy. We do however recognise that for larger sales (multiple days, programmes or event places) our cost of sale is reduced, and we will pass this saving on to our clients on an individual case basis, depending on the size of contract.

We offer special rates to charities and educational establishments, details of which are available on request.

Expenses and Client Disbursements

Travel is charged at Business Class – air travel, First Class- rail travel (both plus Taxi Transfers) or 0.60p / Є 0.95 per mile for road travel.

Accommodation (3 star minimum) will be required for each consultant on the night prior to any day on which delivery begins before 10.00 a.m.

Any client disbursements are subject to a management and administration fee of 10% (we therefore encourage our clients to make arrangements for, and settle accommodation, venue and sundry charges direct).
Additional Disbursements

All prices quoted are exclusive of venue charges, participant accommodation, catering and training equipment hire, which are considered client disbursements (see above).

Learning Materials

All learning support materials are included in our fees.

Personal and Leadership Profiling

Additional personal profiling instruments can be provided at our normal rates where it is agreed with the client that they will help, on an individual basis.

Credit Accounts

Credit will only be extended subject to a satisfactory credit reference. All credit invoices are payable strictly within thirty days of invoice date.

Confirmation, Cancellation and Postponement

Dates cannot be held until agreed by Transformational Thinking Ltd and confirmed by the client, in writing.

We reserve the right to levy postponement and cancellation fees if less than 30 days notice is given of the cancellation or postponement, and if cancelled or postponed days can then not be re-sold. For packaged products and bespoke programmes, cancellation and postponement fees will be charged per delivery day on a pro rata basis according to the package price.

If cancellation charges are made they will be at the rate of:

30% of fees for cancellation within 30 days of the planned start the work
50% of fees for cancellation within 21 days of the planned start of the work
100% of fees for cancellation within 7 days of the planned start of the work

Postponement charges are 10%, 15%, and 20% against the same period breaks prior to the planned start of the work.

Copyright and Intellectual Property

All Copyright and Intellectual Property remains the property of its originator unless expressly agreed otherwise.
The intellectual property and copyright contained in all programmes and materials provided, facilitated and managed by Transformational Thinking Ltd or its Associates and Agents are either vested in Paul Crittenden, Transformational Thinking Ltd or licensed from third parties. The Client warranties that all copyright will be protected and there will be no unauthorised copying of any materials provided by Transformational Thinking Ltd or its Associates or Agents in whole or in part in any media. Furthermore the Client also warranties that no part or module of any Transformational Thinking Ltd programme or materials will be facilitated by anyone other than a formally accredited and licensed Transformational Thinking Ltd Facilitator without the prior written consent of Transformational Thinking Ltd.

Entering into a contract to deliver services does not constitute a formal agreement between the parties to licence the intellectual property nor is there any obligation on the part of Transformational Thinking Ltd to do so. Any such agreement to license Transformational Thinking Ltd’s intellectual property, is subject to terms and conditions expressly excluded from this document.

VAT

All charges made within the UK are subject to VAT at the prevailing rate.
